1. INTRODUCTION

These Terms and Conditions govern access to and use of the Learning Management System (LMS), Student Information System (SIS), and Day Care System (DCS) platforms (collectively, the “Platform”) provided by Zuse Technologies (Private) Limited (“Zuse Technologies”).

By subscribing to or using the Platform, the subscribing Educational Institution (“Licensee”) and its Authorized Users agree to comply with these Terms and Conditions.

2. BINDING

By registering with, accessing, or otherwise using this website, you hereby agree to be bound by these Terms and Conditions set forth below. The mere use of this website implies the knowledge and acceptance of these Terms and Conditions.

3. SCOPE OF SERVICE

3.1 Zuse Technologies provides the Platform as a Software-as-a-Service (SaaS) solution to Educational Institutions.

3.2 Access to the Platform is granted on a limited, non-exclusive, non-transferable, and revocable basis during the active subscription period.

3.3 “Authorized Users” include students, parents, teachers, administrative staff, and other individuals registered by the Educational Institution.

3.4 The Platform is provided as a hosted service. No ownership rights in the software are transferred to the Educational Institution or its Authorized Users.

ACCESS AND ACCEPTABLE USE

4.1 Credential Security

Authorized Users are responsible for maintaining the confidentiality of login credentials.

Sharing account credentials with any individual outside the Authorized User’s immediate household is strictly prohibited.

The Educational Institution is responsible for ensuring compliance with credential security obligations.

4.2 System Integrity

Authorized Users shall not:

  • Attempt to scrape, mine, crawl, or extract data using automated bots, spiders, scripts, or similar technologies;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code;
  • Interfere with system security, performance, or infrastructure;
  • Attempt unauthorized access to accounts, databases, or servers.

Such conduct may result in immediate suspension of access.

4.3 Content Standards

Authorized Users shall not upload, post, transmit, or distribute content that is:

  • Obscene;
  • Menacing, defamatory, or abusive;
  • Fraudulent or misleading;
  • Infringing on intellectual property rights;
  • Illegal under the laws of Sri Lanka.

Zuse Technologies reserves the right to suspend or restrict access where violations occur.

5. INTELLECTUAL PROPERTY

5.1 Platform Ownership

All rights, title, and interest in and to the Platform, including software, architecture, databases, user interface design, trademarks, and proprietary technology, remain the exclusive property of Zuse Technologies.

No rights are granted except those expressly stated in these Terms and Conditions.

5.2 Educational Institutional Content

All educational materials, examinations, institutional records, and student data uploaded to the Platform remain the property of the Educational Institution or the respective Instructor.

Zuse Technologies claims no ownership over Educational Institutional Content.

5.3 Feedback

Any feedback or suggestions provided regarding the Platform may be used by Zuse Technologies without restriction or compensation.

6. DATA PROTECTION

6.1 The processing of personal data through the Platform is governed by the Zuse Technologies Privacy Policy.

6.2 The Educational Institution acts as the Data Controller, and Zuse Technologies acts as the Data Processor in accordance with the Personal Data Protection Act No. 9 of 2022.

6.3 The Educational Institution is responsible for obtaining all necessary consents required for lawful processing of personal data, including parental or guardian consent where applicable.

SUBSCRIPTION AND PAYMENT

7.1 Subscription Term

Subscriptions carry a minimum twenty four (24) month term commencing from the official Go Live Date.

Following the initial term, services may continue on a renewal basis unless terminated in accordance with these Terms.

7.2 Fees

Subscription fees:

  • Are billed monthly unless otherwise agreed in writing;
  • Are non-refundable;
  • Must be paid within the agreed payment period.

Failure to make timely payment may result in suspension of access.

7.3 Early Termination

If the Educational Institution terminates services before the expiry of the initial 24 month term, the Educational Institution remains liable for the remaining balance of that term.

8. SUSPENSION AND SERVICE RESTRICTION

Zuse Technologies may suspend or restrict access to the Platform where:

  • There is a breach of these Terms and Conditions;
  • Fees remain unpaid beyond the due date;
  • Continued use presents a security, legal, or operational risk.

Access may be restored upon resolution of the issue at Zuse Technologies’ discretion.

9. LIMITATION OF LIABILITY

9.1 The Platform is provided on an “as available” basis.

9.2 To the maximum extent permitted by law, Zuse Technologies shall not be liable for:

  • Indirect, incidental, special, or consequential damages;
  • Loss of profits, revenue, business opportunity, or goodwill;
  • Data loss resulting from actions of the Educational Institution or Authorized Users.

9.3 Aggregate liability of Zuse Technologies shall not exceed the total subscription fees paid during the preceding twelve (12) months.

10. FORCE MAJEURE

Zuse Technologies shall not be liable for delays or failure in performance resulting from events beyond its reasonable control, including natural disasters, governmental actions, power failures, or telecommunications disruptions.

11. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

12. GENERAL

12.1 Entire Understanding

These Terms and Conditions, together with the Privacy Policy, constitute the complete understanding governing use of the Platform.

12.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.

12.3 Modifications

Zuse Technologies reserves the right to update these Terms from time to time. Continued use of the Platform constitutes acceptance of any revised Terms.
